Request to Participate in the Employee Discount Program

By submitting this request to participate in the SABIC Innovative Plastics Employee Discount Program (“EDP”) Provider or the authorized agent of Provider (collectively "Provider") acknowledges and agrees to the following SABIC Innovative Plastics EDP Terms and Conditions:

• The discount provided by the Provider through the EDP represents an actual discount of the price of the goods and services normally offered by the Provider to the general public;
• Provider's participation in the EDP does not constitute or create an agent relationship between the Provider and SABIC Innovative Plastics and, unless otherwise agreed to in writing by SABIC Innovative Plastics, participation as a discount service or product provider is separate and distinct from the provision of any services through a vendor contract with SABIC Innovative Plastics;
• SABIC Innovative Plastics may discontinue the EDP at any time or discontinue a Provider's participation in the program or the Provider's ability to offer a particular product or service without advance notice;
• SABIC Innovative Plastics may revise or modify or discontinue the program at any time without advance notice;
• Provider will not offer discounts to products or services inconsistent with the SABIC Innovative Plastics Code of Ethics or other products the Company may determine in its sole discretion are inconsistent with the Company's business practices.  Such products, include, but are not limited to, cigarettes or other tobacco products, gambling services or venues, sexual services or adult entertainment, alcohol, or firearms, etc.;
• SABIC Innovative Plastics employees will access Providers discount website via a link that is posted on SABIC Innovative Plastics’ Marketplace intranet site.  Provider will keep its web site information up to date if it uses a Web site to communicate information to employees regarding prices, products, services, and dates discount is being offered;
• Provider will not directly or indirectly solicit SABIC Innovative Plastics employees to purchase or sample any product or service offered by Provider through the EDP.  SABIC Innovative Plastics will not provide any personal information regarding its employees to Provider, including, but not limited to employee names, work or home telephone numbers, work or home addresses, e-mail addresses, etc.  Employees electing to make a purchase through the SABIC Innovative Plastics EDP, will provide any personal information required by the Provider directly to that Provider and Provider shall be responsible for complying with its normal data protection and security protocol and all applicable data protection laws;
• Provider will not disclaim knowledge of or responsibility for the authenticity or legality of their product or service;
• Provider will comply with all applicable laws including any licensing or certification requirements applicable to the provisions of a particular service;
• Provider will not use SABIC Innovative Plastics logos or make any other reference to SABIC Innovative Plastics without the express written consent of SABIC Innovative Plastics;
• The decision to purchase any products or services from a Provider is the sole responsibility of the purchaser.  All transactions of services or products with a Provider through the SABIC Innovative Plastics EDP are directly between the purchaser and the Provider offering the service or product and accompanying discount;
• SABIC Innovative Plastics assumes no obligations and makes no warranties or endorsements regarding the price, discount or quality of the services or products offered through SABIC Innovative Plastics Marketplace.  Any issues with respect to price, payment, quality or delivery of purchased products or services provided by Provider shall be handled directly between the purchaser and the Provider and Provider releases, indemnifies and holds harmless SABIC Innovative Plastics from any claims or damages arising out of Providers participation in the SABIC Innovative Plastics EDP.
